To be eligible to register for a Scribble account and use any Services, you must review and accept these Terms of Service. Your authorization to access and use any Services is conditioned on your acceptance of and compliance with these Terms of Service. Your Account Email, together with your authentication, govern your access to your Account (the “Credentials”). You are solely responsible for the security of your Account, and agree to keep your Credentials secure.
When you create an Account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your Account on Service.
You are solely responsible for maintaining the security and confidentiality of your Account and Credentials, including but not limited to the restriction of access to your computer and/or Account. You agree to accept responsibility for any and all activities or actions that occur under your Account and/or Credentials, whether your password is with our Service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your Account.
You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you, without appropriate authorization. You may not use as a username any name that is offensive, vulgar or obscene.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.
By creating an Account on our Service, you agree that we may send you marketing, promotional, and other business-related communications, using the information associated with your Account, including by email, text message (SMS or MMS), phone, mail, and other written media. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at hello@scribble.art.
You may purchase certain products and services through the Services (“Purchase”), at the prices and on the terms presented by Scribble to You at the time of your order. If you wish to make a Purchase, you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for any reason, including without limitation product or service availability; errors in the description or price of the product or service; errors in your order; and suspected fraud or other illegal or unauthorized activity.
Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through the Service may be governed by rules that are separate from these Terms of Service. Our Service allows you to post, link, store, share and otherwise make available certain original information, text, graphics, videos, or other material (“Content”). You are responsible for Content that you post on or through Service, including its legality, reliability, and appropriateness.
By posting Content on or through Service, You represent and warrant that: (i) Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on the intellectual property rights of a third party.

Our software includes editing functionality that modifies the original image or Content submitted into a modified version of the original (“Edited Content”). You agree that Edited Content may only be used in conjunction with and as part of the Services, and that Scribble will only make digital versions of Edited Content available to You as part of the Services and at Scribble’s discretion. These Terms shall be governed and construed in accordance with the laws of State of California without regard to its conflict of law provisions. All disputes arising out of the Agreement will be subject to the exclusive jurisdiction and venue of the state and federal courts of San Francisco County, California, USA, and the parties hereby consent to the personal jurisdiction of these courts.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding Service.
We reserve the right to change, modify, withdraw or amend any aspect of our Services, and any service or material we provide via Service, at any time and in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users, including registered users.
We may amend Terms at any time by posting the amended terms on our website. It is your responsibility to review these Terms periodically. When Scribble materially changes these Terms, Scribble will update the ‘Last Updated’ date at the top of this page and notify you that material changes have been made to these Terms. Any such changes will become effective no earlier than thirty (30) days after they are posted, except that changes addressing new functions of the Services or changes made for legal reasons will be effective immediately. Your continued use of the Services after the date any such change becomes effective constitutes your acceptance of these Terms, as updated. If you do not agree to any of these terms or any future terms, you may not use or access the Services. Notices to Scribble shall be made via email to legal@scribble.art.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Service.
No waiver by Company of any term or condition set forth in Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Company to assert a right or provision under Terms shall not constitute a waiver of such right or provision.
If any provision of Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of Terms will continue in full force and effect.
BY USING SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
Nothing contained herein will in any way constitute any association, partnership, agency, employment or joint venture between the parties hereto, or be construed to evidence the intention of the parties to establish any such relationship. Neither party will have the authority to obligate or bind the other in any manner, and nothing herein contained will give rise or is intended to give rise to any rights of any kind to any third parties.
Neither Party will be deemed in breach hereunder for any cessation, interruption or delay in the performance of its obligations due to causes beyond its reasonable control, including earthquake, flood, or other natural disaster, act of God, labor controversy, civil disturbance, terrorism, war (whether or not officially declared) or the inability to obtain sufficient supplies, transportation, or other essential commodity or service required in the conduct of its business, or any change in or the adoption of any law, regulation, judgment or decree.
These Terms (including any ordering documents created and accepted pursuant to these Terms) comprises the entire agreement between you and Scribble with respect to its subject matter, and supersedes all prior and contemporaneous proposals, statements, sales materials or presentations and agreements. No oral or written information or advice given by Scribble, its agents or employees will create a warranty or in any way increase the scope of the warranties in these Terms.

Please read this carefully. It affects your rights. If you are a Scribble customer in the United States (including its possessions and territories), you and Scribble agree that any dispute, claim or controversy arising out of or relating in any way to the Scribble service, these Terms of Use and this Arbitration Agreement, shall be determined by binding arbitration or in small claims court. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. You agree that, by agreeing to these Terms of Use, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this provision, and that you and Scribble are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of this Agreement and the termination of your Scribble account.
If you elect to seek arbitration or file a small claim court action, you must first email your arbitration notice to legal@scribble.art. If Scribble initiates arbitration, it will send a written Notice to the email address used for your account. A Notice, whether sent by you or by Scribble, must (a) describe the nature and basis of the claim or dispute; (b) set forth the specific relief sought and the basis for the calculations;
(c) include your name, the email address associated with your Scribble account, your current phone number, mailing address, and email address, and your signature; and (d) if you have retained an attorney, your signed statement authorizing Scribble to disclose your confidential account records to your attorney if necessary in resolving your claim. If Scribble and you do not reach an agreement to resolve the claim within 60 days after the Notice is received, you or Scribble may commence an arbitration proceeding or file a claim in small claims court.
You may download or copy a form Notice and a form to initiate arbitration at www.adr.org. If you are required to pay a filing fee, after Scribble receives notice at the Notice Address that you have commenced arbitration, if you previously had fully complied with the Notice requirement in the preceding paragraph, Scribble will promptly reimburse you for your payment of the filing fee, unless your claim is for greater than US$1,000, in which event you will be responsible for filing fees.
The arbitration will be governed by the Consumer Arbitration Rules (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by this Agreement, and will be administered by the AAA. The AAA Rules and Forms are available online at www.adr.org, by calling the AAA at 1-800-778-7879, or by writing to the Notice Address. The arbitrator is bound by the terms of this Agreement. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this arbitration agreement. Unless Scribble and you agree otherwise, any arbitration hearings will take place in the county of your residence.
If your claim is for US$10,000 or less, we agree that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing, or by an in-person hearing as established by the AAA Rules. If your claim exceeds US$10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator shall issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the award is based. The arbitrator may consider rulings in other arbitrations involving different customers, but an arbitrator’s ruling will not be binding in proceedings involving different customers. If you had fully complied with the Notice requirement above and the arbitrator issues you an award that is greater than the value of Scribble’s last written settlement offer made before an arbitrator was selected (or if Scribble did not make a settlement offer before an arbitrator was selected), then Scribble will pay you the amount of the award or US$1,000, whichever is greater. Except as expressly set forth herein, the payment of all filing, administration and arbitrator fees will be governed by the AAA Rules.
YOU AND SCRIBBLE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Scribble agree otherwise, the arbitrator may not consolidate more than one person’s claims with your claims, and may not otherwise preside over any form of a representative or class proceeding. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. If any provision of this paragraph is determined to be unenforceable with respect to any claim or any particular remedy for a claim (such as a request for public injunctive relief), then the parties agree that the claim or particular remedy (and only that claim or remedy) must be decided by a court after all other claims and requests for relief are arbitrated.
